Terms and Conditions

Article 1 – Definitions

For the purposes of these Terms and Conditions, the following definitions apply:

Withdrawal period: The period within which the consumer may exercise the right of withdrawal.
Consumer: A natural person who is not acting in the course of a profession or business and who enters into a distance contract with VYNE NY.
Day: Calendar day.
Continuous transaction: A distance contract relating to a series of products and/or services whose delivery and/or purchase obligation extends over a certain period of time.
Durable data carrier: Any means that enables the consumer or VYNE NY to store information addressed personally to them in such a way that it can be accessed and reproduced unchanged at a later time.
Right of withdrawal: The ability of the consumer to withdraw from the distance contract within the withdrawal period.
VYNE NY: The company offering products and/or services to consumers via distance selling.
Distance contract: A contract concluded within the framework of a system organized by VYNE NY for distance selling of products and/or services, using exclusively one or more means of distance communication until the conclusion of the contract.
Means of distance communication: Any method that can be used to conclude a contract without the consumer and VYNE NY being physically present in the same space.
Terms and Conditions: The present general terms and conditions of VYNE NY.


Article 2 – Right of Withdrawal

The consumer has the right to withdraw from the contract within 30 days without giving any reason.
During this period, the consumer must handle the product and its packaging with care.

If the consumer exercises the right of withdrawal, they must return the product with all delivered accessories and, if reasonably possible, in the original condition and packaging, according to the instructions provided by VYNE NY.


Article 3 – Applicability

These Terms and Conditions apply to every offer made by VYNE NY and to every distance contract and order between VYNE NY and the consumer.

Before the distance contract is concluded, the text of these Terms and Conditions will be made available to the consumer. If this is not reasonably possible, the consumer will be informed prior to conclusion where they can access the Terms and Conditions and that they will be sent free of charge upon request.

If the contract is concluded electronically, the Terms and Conditions may be provided electronically in a format that enables the consumer to store them on a durable data carrier.

If additional product or service conditions apply, they shall supplement these Terms and Conditions. In the event of conflict, the consumer may rely on the provision most favorable to them.

If any provision of these Terms becomes invalid, the remainder remains in effect, and the invalid provision will be replaced with a legally valid one that reflects its original intent.


Article 4 – The Offer

If an offer has a limited duration or specific conditions, this must be clearly stated.

All offers are non-binding. VYNE NY may modify or withdraw offers at any time.

Product descriptions must be complete and accurate. Images used by VYNE NY must reflect the products truthfully, although color variations may occur.

Obvious errors or mistakes do not bind VYNE NY.

Each offer must clearly outline:

● Delivery costs
● How the contract is concluded
● Whether the right of withdrawal applies
● Payment, delivery, and fulfillment methods
● Offer validity
● Communication fee rates (if applicable)
● Whether the contract will be archived and how it can be accessed
● How to check and correct submitted information
● Available contract languages
● Applicable codes of conduct
● Minimum contract duration for long-term agreements


Article 5 – The Contract

The contract is concluded once the consumer accepts the offer and complies with the stated conditions.

If the consumer accepts electronically, VYNE NY will confirm receipt electronically. Until confirmation is provided, the consumer may cancel the contract.

VYNE NY must take appropriate measures to secure electronic data transfer. Secure payment methods will also be provided.

VYNE NY may assess, within legal limits, whether the consumer can meet payment obligations. Based on this assessment, VYNE NY may decline an order or attach conditions.

Upon delivery, VYNE NY will provide:

● The customer service address
● Instructions concerning the right of withdrawal
● Warranty details and available customer support
● All other legally required information

All agreements depend on product availability.


Article 6 – Right of Withdrawal

The consumer has 30 days from the day after receiving the product to withdraw.

During this period, the consumer may only handle the product as necessary to determine whether they wish to keep it.

If withdrawing, the consumer must notify VYNE NY in writing or via email at support@vyne-newyork.com within 30 days, and then return the product within an additional 30 days.

Failure to notify or return the product invalidates the withdrawal.


Article 7 – Costs in Case of Withdrawal

Consumers bear the direct cost of returning products.

Refunds will be processed within 30 days after withdrawal, provided VYNE NY has received the product or proof of return.


Article 8 – Exclusion of the Right of Withdrawal

Withdrawal may be excluded for:

● Customized products
● Personalized items
● Products that cannot be returned due to their nature
● Perishable items
● Products affected by market fluctuations
● Single editions of newspapers/magazines
● Opened sealed media (software, CDs, DVDs)
● Hygiene products with broken seals

Exclusions must always be stated clearly before the contract is concluded.


Article 9 – Pricing

Prices will not increase during the offer period except for VAT adjustments.

Variable market-based pricing is permitted when clearly indicated.

Price increases within three months of contract conclusion are only allowed when required by law; beyond three months, only if:

● Stated in the contract
● The consumer can cancel from the date the increase takes effect

Typing errors are non-binding, and VYNE NY is not required to deliver products at incorrect prices.


Article 10 – Conformity and Warranty

VYNE NY guarantees that products comply with the contract, stated specifications, and legal standards.

Defects or incorrect deliveries must be reported within 30 days. Returns must be in original packaging and unused condition.

Warranty becomes void if:

● The consumer repairs or modifies the product
● The product is misused or used abnormally
● Defects arise due to external regulations affecting materials


Article 11 – Delivery and Execution

VYNE NY will process orders with care.

Orders will be shipped within 30 days unless otherwise agreed.

If delays occur, the consumer will be informed within 30 days and may cancel the contract free of charge.

Refunds will be issued within 30 days.

If an item is unavailable, VYNE NY may offer a replacement. In such cases, the right of withdrawal remains in effect, and return costs will be covered by VYNE NY.

Risk of loss or damage remains with VYNE NY until delivery to the consumer.


Article 12 – Duration Contracts: Termination and Renewal

Termination or renewal conditions are applied in accordance with the consumer protection rules already outlined.


Article 13 – Payment

Unless otherwise agreed, payment is due within seven working days after the withdrawal period begins.

Consumers must report payment detail errors immediately.

In case of non-payment, VYNE NY may charge previously communicated reasonable fees.


Article 14 – Complaints Procedure

Complaints must be submitted within seven days after discovery of a defect.

VYNE NY will respond within 14 days. If more time is required, consumers will be informed.

If a complaint cannot be resolved, it may proceed to mediation.

Valid complaints entitle the consumer to repair or replacement free of charge.


Article 15 – Disputes

Only US law applies to agreements between the consumer and VYNE NY.
